RESOLUTION 14 -2661 A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA, AUTHORIZING THE EXECUTION OF A TRI -PARTY AGREEMENT REGARDING VISION FOR THE CITY CENTER AND LONG -TERM MAINTENANCE OBLIGATIONS FOR PUBLIC AMENITIES AND PUBLIC PROPERTY BETWEEN CASTO CASSELBERRY, LLC, INTEGRA LAKES, LLC, AND THE CITY OF CASSELBERRY; PROVIDING FOR CONFLICTS, SEVERABILITY, AND EFFECTIVE DATE. WHEREAS, the City Commission approved the execution of those certain Acquisition Agreements with Casto Casselberry LLC, and Integra Lakes LLC, and the Commission also desires to enter into the Tri -Party Agreement Regarding Vision for the City Center and Long - Term Maintenance Obligations for Public Amenities and Public Property in order to ensure the City Commission's vision for the City Center is memorialized, and in order to provide for long- term maintenance of the public property at the City Center; and WHEREAS, the City owns the property generally located at the intersection of U.S. Highway 17 -92 and Triplet Lake Drive containing between approximately 20 acres and described in Exhibit A (the "City Center Property "); and WHEREAS, the Developers and the City recognize and agree that this Agreement does not represent the City's approval of nor express the City's intent to approve the Developers' final plans for the Project in any particular way or manner except in accordance with controlling development orders and the land development regulations of the City, nor does it bind the City in any way regarding the City's potential approval of the Project; and WHEREAS, the City has determined that the terms and conditions of this Agreement are in the best interests of the public health, safety and welfare of the citizens of the City and provide for a public benefit. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA, AS FOLLOWS: SECTION I. The City Commission of the City of Casselberry hereby approves the Tri- Party Agreement Regarding Vision for the City Center and Long -Term Maintenance Obligations for the Public Amenities and Public Property (attached hereto as "Attachment A "), and authorizes the Mayor to execute said Agreement on behalf of the City. SECTION II. Conflicts. All Resolutions or parts of Resolutions in conflict with any of the provisions of this Resolution are hereby repealed. SECTION III. Severability. If any Section or portion of a Section of this Resolution proves to be invalid, unlawful, or unconstitutional, it shall not be held to invalidate or impair the validity, force, or effect of any other Section or part of this Resolution.
