RESOLUTION 14 -2661 <br />A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA, <br />AUTHORIZING THE EXECUTION OF A TRI -PARTY AGREEMENT <br />REGARDING VISION FOR THE CITY CENTER AND LONG -TERM <br />MAINTENANCE OBLIGATIONS FOR PUBLIC AMENITIES AND <br />PUBLIC PROPERTY BETWEEN CASTO CASSELBERRY, LLC, <br />INTEGRA LAKES, LLC, AND THE CITY OF CASSELBERRY; <br />PROVIDING FOR CONFLICTS, SEVERABILITY, AND EFFECTIVE <br />DATE. <br />WHEREAS, the City Commission approved the execution of those certain Acquisition <br />Agreements with Casto Casselberry LLC, and Integra Lakes LLC, and the Commission also <br />desires to enter into the Tri -Party Agreement Regarding Vision for the City Center and Long - <br />Term Maintenance Obligations for Public Amenities and Public Property in order to ensure the <br />City Commission's vision for the City Center is memorialized, and in order to provide for long- <br />term maintenance of the public property at the City Center; and <br />WHEREAS, the City owns the property generally located at the intersection of U.S. <br />Highway 17 -92 and Triplet Lake Drive containing between approximately 20 acres and <br />described in Exhibit A (the "City Center Property "); and <br />WHEREAS, the Developers and the City recognize and agree that this Agreement does <br />not represent the City's approval of nor express the City's intent to approve the Developers' final <br />plans for the Project in any particular way or manner except in accordance with controlling <br />development orders and the land development regulations of the City, nor does it bind the City in <br />any way regarding the City's potential approval of the Project; and <br />WHEREAS, the City has determined that the terms and conditions of this Agreement are <br />in the best interests of the public health, safety and welfare of the citizens of the City and provide <br />for a public benefit. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE <br />CITY OF CASSELBERRY, FLORIDA, AS FOLLOWS: <br />SECTION I. The City Commission of the City of Casselberry hereby approves the Tri- <br />Party Agreement Regarding Vision for the City Center and Long -Term Maintenance Obligations <br />for the Public Amenities and Public Property (attached hereto as "Attachment A "), and <br />authorizes the Mayor to execute said Agreement on behalf of the City. <br />SECTION II. Conflicts. All Resolutions or parts of Resolutions in conflict with any of <br />the provisions of this Resolution are hereby repealed. <br />SECTION III. Severability. If any Section or portion of a Section of this Resolution <br />proves to be invalid, unlawful, or unconstitutional, it shall not be held to invalidate or impair the <br />validity, force, or effect of any other Section or part of this Resolution. <br />
