(k) "Competitive Procurement" shall mean the selection of a Construction
<br />Manager at Risk through an open, competitive procurement process utilizing a request for
<br />qualifications solicitation in compliance with Section 287.055, Florida Statutes.
<br />(1) "Comprehensive Plan" shall mean the plan adopted by the City pursuant
<br />to Florida Statutes Sections 163.3177 and 163.3178, as the same may be amended from
<br />time to time.
<br />(m) "Construction Contract" shall mean the construction contract, which
<br />includes a Guaranteed Maximum Price, between Integra, the Construction Manager at
<br />Risk, and the City for the development and construction of the Overall Improvements.
<br />(n) "Construction Documents" shall mean the working construction drawings
<br />and specifications approved by the City and Integra describing the size, character,
<br />appearance, functionality, design, construction, materials, finishes, signage and graphics,
<br />electrical and all other improvements, systems, amenities and components of the Project
<br />Improvements.
<br />(o) "Contractor(s)" means one or more qualified contractors selected and
<br />engaged by the City for the development and construction of the Project Improvements.
<br />(p) "Coun " shall mean Seminole County, Florida, a political subdivision of
<br />the State of Florida.
<br />(q) "Development Plans" shall mean the plans and scope of work for the
<br />Project Improvements to be performed by the City pursuant to Part 3 of this Agreement,
<br />together with the Construction Documents, Project Budget and the Project Schedule,
<br />collectively.
<br />(r) "Environmental Laws" shall mean all laws, including any consent decrees,
<br />settlement agreements, judgments, or orders, issued by or entered into with a
<br />Governmental Authority, pertaining or relating to: (w) pollution or pollution control; (x)
<br />protection of human health or the environment; (y) the presence, use, management,
<br />generation, processing, treatment, recycling, transport, storage, collection, disposal or
<br />release or threat of release of Hazardous Materials; and (z) the protection of endangered
<br />or threatened species.
<br />(s) "Final Plat" shall mean a final, recorded subdivision plan for one or more
<br />Parcels approved in accordance with Article XIX of the City Code.
<br />(t) "Force Majeure" shall mean the occurrence of any of the following: acts
<br />of God; acts of the public enemy; the confiscation or seizure by any Government
<br />Authority; insurrections; wars or war -like action (whether actual or threatened); arrests or
<br />other restraints of government (civil or military); strikes, labor unrest or disputes (in each
<br />case without regard to the reasonableness of any parry's demands or ability to satisfy such
<br />demands); unavailability of or delays in obtaining labor or materials; epidemics;
<br />landslides, lightning, earthquakes, fires, hurricanes, storms, floods or other severe
<br />weather; explosions; civil disturbance or disobedience; riot, sabotage, terrorism or threats
