<br />CONSENT AND JOINDER AGREEMENT
<br />AL
<br />This Agreement is made and entered to thisaX day of 2014, by
<br />ALOMA CHURCH PROPERTIES, INC. , a Florida non- profit corporation (hereinafter referred
<br />to as the "Owner/Applicant/Mortgagor ") and TD Bank, N.A. Successor to Riverside National
<br />Bank of Florida, (hereinafter referred to as the "Lender/Mortgagee").
<br />RECITALS
<br />WHEREAS, Owner/Applicant/Mortgagor has applied to the City of Casselberry, Florida,
<br />to replat the properties owned by the Owner, all of which are located in the Seminole County,
<br />Florida, more particularly described in the attached Exhibit A.
<br />WHEREAS, Lender/Mortgagee loaned to ALOMA BAPTIST CHURCH, INC., a Florida
<br />non-profit organization, now known as ALOMA CHURCH PROPERTIES, INC., funds that are
<br />evidenced by a Mortgage Note dated January 6, 2006, executed by Owner/Applicant/Mortgagor
<br />in favor of Mortgagee, and said Mortgage Note is secured by a Mortgage and Security Agreement
<br />dated January 6, 2006, and recorded on January 11, 2006, in Official Records Book 6078, Pages
<br />1408-1422, Public Records of Seminole County, Florida (hereinafter the "Mortgage").
<br />WHEREAS, the Mortgage was modified by a Note and Mortgage Modification
<br />Agreement dated January 9, 2014 and recorded on January 15, 2014, in Official Records Book
<br />08195, Pages 1421-1429, Public Records of Seminole County, Florida.
<br />WHEREAS, the Mortgage is a lien on the real property owned by the
<br />Owner/Applicant/Mortgagor as reflected on the legal description shown on the attached Exhibit
<br />B, attached hereto and made a part hereof.
<br />WHEREAS, Owner/Applicant/Mortgagor desires that Lender/Mortgagee join in and
<br />consent to the replat of the properties owned by Owner/Applicant/Mortgagor.
<br />AGREEMENT
<br />NOW THEREFORE, in consideration of the premises and for other good and valuable
<br />consideration, the receipt and sufficiency of all is hereby acknowledged, Lender/Mortgagee
<br />agrees to the replatting of the properties and joins in and consents to the said application to the
<br />City of Casselberry, Florida, to replat the properties owned by Owner/Applicant/Mortgagor.
<br />IN WITNESS WHEREOF, Lender/Mortgagee has caused this instrument to be executed
<br />by its duly authorized officer on the day and date first set forth above.
