29, ENTIRE AGREEMENT, This Agreement, including the RFP and Proposal, and exhibits <br />hereto embody the entire agreement and understanding of the parties hereto with respect to the <br />subject matter hereof and supersede all prior and contemporaneous agreements and understandings, <br />oral or Witten, relating to said subject matter, This Agreement may only be modified by written <br />amendment executed by the City and Consultant, <br />30. ATTORNEY'S PEES. In the event that City is required to file legal action against <br />Consultant to collect any amounts due under this Agreement, City shall be entitled to its costs of <br />collection, attorney's fees and costs and interest at the maximum rate allowable by law, <br />31, CONTROLLING PROVISIONS. Except as otherwise specifically provided herein, in the <br />event of any conflict between the specific provisions of this Agreement and the requirements or <br />provisions of the R)iP, the provisions shall be given precedence in the following order: (1) this <br />Agreement, (2) the RFP; and (3) the Proposal. Wherever possible, the provisions of the documents <br />shall be construed in such manner as to avoid conflicts Between provisions of the various <br />documents, <br />
