7. Further Assurances. In addition to the acts recited in this Agreement, the City and <br />Sunshadow agree to perform or cause to be performed any and all further acts as may be <br />reasonable necessary to implement the provisions of this Agreement, including the execution <br />and/or recordation of further instruments. <br />8. Notices. All notices, requests and other communications hereunder shall be in <br />writing and shall be deemed given in the following circumstances: when personally delivered; or <br />three (3) business days after being deposited in the United States Mail, postage prepaid, certified <br />or registered; or the next business day after being deposited with a recognized overnight mail or <br />courier delivery service; or when transmitted by facsimile or telecopy transmission, with receipt <br />acknowledged upon transmission; and addressed as follows (or to such other person or at such <br />other address, of which any party hereto shall have given written notice as provided herein): <br />If to City: City of Casselberry <br />95 Triplet Lalce Drive <br />Casselberry, FL 32707 <br />Attn: City Manager <br />If to Sunshadow: Gatehouse Sunshadow, LLC <br />3850 Bird Road, 8th Floor <br />Miami, FL 33146 <br />Attn: Nathan Vedrani <br />In all cases, notices shall be deemed delivered to Sunshadow only upon delivery of same to both <br />parties as indicated above. <br />9. Entire Agreement. This Agreement constitutes the complete and entire agreement <br />between the City and Sunshadow with respect to the subject matter hereof, and supersedes any <br />and all prior agreements or understandings, whether oral or written, between the panties relating <br />thereto. <br />10. Recording. The City shall, within five (5) business days following full execution <br />of this Agreement, and at the City's sole cost and expense, record a fully executed counterpart of <br />this Agreement in the Public Records of Seminole County, Florida. <br />11. Parties Bound. Following the recordation of this Agreement, the benefits and <br />burdens of this Agreement shall become a covenant running with the title to the Property, and all <br />parts and parcels thereof, and this Agreement shall be binding upon and inure to the benefit of <br />both the City, and Sunshadow and its assigns and successors in interest to the said Property, and <br />all parts and parcels thereof. <br />12. Severability. If any provision of this Agreement, the deletion of which would not <br />adversely affect the receipt of any material benefits by either party to the Agreement or <br />substantially increase the burden of either panty to the Agreement, shall be held to be invalid or <br />unenforceable to any extent by a court of competent jurisdiction, the same shall not affect in any <br />respect whatsoever the validity or enforceability of the remainder of the Agreement. <br />
