7. Further Assurances. In addition to the acts recited in this Agreement, the City and Sunshadow agree to perform or cause to be performed any and all further acts as may be reasonable necessary to implement the provisions of this Agreement, including the execution and/or recordation of further instruments. 8. Notices. All notices, requests and other communications hereunder shall be in writing and shall be deemed given in the following circumstances: when personally delivered; or three (3) business days after being deposited in the United States Mail, postage prepaid, certified or registered; or the next business day after being deposited with a recognized overnight mail or courier delivery service; or when transmitted by facsimile or telecopy transmission, with receipt acknowledged upon transmission; and addressed as follows (or to such other person or at such other address, of which any party hereto shall have given written notice as provided herein): If to City: City of Casselberry 95 Triplet Lalce Drive Casselberry, FL 32707 Attn: City Manager If to Sunshadow: Gatehouse Sunshadow, LLC 3850 Bird Road, 8th Floor Miami, FL 33146 Attn: Nathan Vedrani In all cases, notices shall be deemed delivered to Sunshadow only upon delivery of same to both parties as indicated above. 9. Entire Agreement. This Agreement constitutes the complete and entire agreement between the City and Sunshadow with respect to the subject matter hereof, and supersedes any and all prior agreements or understandings, whether oral or written, between the panties relating thereto. 10. Recording. The City shall, within five (5) business days following full execution of this Agreement, and at the City's sole cost and expense, record a fully executed counterpart of this Agreement in the Public Records of Seminole County, Florida. 11. Parties Bound. Following the recordation of this Agreement, the benefits and burdens of this Agreement shall become a covenant running with the title to the Property, and all parts and parcels thereof, and this Agreement shall be binding upon and inure to the benefit of both the City, and Sunshadow and its assigns and successors in interest to the said Property, and all parts and parcels thereof. 12. Severability. If any provision of this Agreement, the deletion of which would not adversely affect the receipt of any material benefits by either party to the Agreement or substantially increase the burden of either panty to the Agreement, shall be held to be invalid or unenforceable to any extent by a court of competent jurisdiction, the same shall not affect in any respect whatsoever the validity or enforceability of the remainder of the Agreement.
