CONTRACTUAL SERVICES <br />Page 18 of 20 <br />15. SUCCESSORS AND ASSIGNS: <br />The City and Consultant, respectively, bind themselves, their successors and <br />assigns to the other party to this Agreement, and to the other party's successors <br />and assigns with respect to all the terms and provisions of this Agreement. <br />Consultant may not assign or transfer any interest in this Agreement without the <br />prior written consent of the City. <br />16. CAPTIONS: <br />The captions of the Section in this Agreement are used only for convenience and <br />for reference and they do not define, limit or describe the scope or intent of this <br />Agreement or of any Section of this Agreement. <br />17. COUNTERPARTS: <br />This Agreement may be executed in several counterparts, each of which shall <br />be deemed an original and all of which counterparts together shall constitute <br />one and the same instrument. <br />18. TIME OF THE ESSENCE: <br />Time is of the essence of the lawful performance of the duties and obligations <br />contained in this Agreement. The parties covenant and agree that they shall <br />diligently and expeditiously pursue their respective obligations set forth in this <br />Agreement. <br />19. SAFETY: <br />Consultant shall be solely and absolutely responsible and assume all liability for <br />the safety and supervision of its principals, employees, contractors, and agents <br />while performing work provided hereunder. <br />20. DRAFTING: <br />The City and Consultant each represent that they have both shared equally in <br />drafting this Agreement and no party shall be favored or disfavored regarding <br />the interpretation of this Agreement in the event of a dispute between the <br />parties. <br />
