<br />This Praper~y Scfaeaule is entered into pursuant to Tax-Exempt Lease/Purchase Agreement dated as of 9/15/2009 bet~~tireen Lessor
<br />and Lessee.
<br />1. Interpretation. The terms and conditions of the Tax-Exempt Lease/Purchase Agreement (the "Agreement") are incorporated herein.
<br />2. Propert~Description. The Property subject to this Proper'y Schedule is described in Exhibit A, attached hereto.
<br />3. Commencement Date. The Commencement Date for this Property Schedule is 9/i 5/2009.
<br />4. Terrn and Payments•-Lease Term and Lease Payments are per the table below. If fhe Payment Due Gates are not defined, they shall
<br />be defined as the first day of each monthly period in the table below commencing with the Acceptance Date as stated in the
<br />Certificate of Acceptance, attached as Exhibit B, hereto, If the parties enter into an escrovr agreement for the acquisition of the
<br />Property, then the escrow agreement shall be attached hereto as Exhibit D. In lieu of the Acceptance Date for commencement of
<br />Lease Payments, the date of deposit of the Property Cost into the escrow by Lessor shall be used. Lessee shall have the option to
<br />prepay the Lease Payments due under this Property Schedule by paying the Concluding Balance shovrn in the tabie below, plus
<br />any other amounts due and ov<<ing at the time of prepayment, subject to per diem adjustment.
<br />5. Expiration. Lessor, at its sole determination, may choose not to accept this Property Schedule if the fully executed, original Agreemeia
<br />(including this Property Schedule and a!i ancillary documents) are not received by Lessor at its place of business by 9/15/2009.
<br />6. Prooerty Cost The total acquisition cost Crf the Property is $138,843,00.
<br />7. Opinion of Counsel. Lessee has provided the opinion of its legal counsel substantially in the form as attached as Exhibit C, hereto.
<br />8. Lessee's Certificate. The Lessee's Certificate is attached as Exhibit D.
