<br />the opinion of the CITY's CEI, an emergency exists with respect to the <br /> <br />COUNTY Project work, the CEI may authorize measures which, in his or <br /> <br />her professional opinion, are reasonably necessary to prevent or <br /> <br />mitigate damages which might result from such emergency. <br /> <br />In any such <br /> <br />situation, the CITY shall provide verbal or telephonic notice of the <br /> <br />emergency situation as soon as reasonably practicable under the <br /> <br />circumstances, with a follow-up written confirmation. <br /> <br />(c) Upon completion of the construction contract and final <br /> <br />acceptance of the work by the CITY, the CITY shall transfer and assign <br /> <br />to the COUNTY the applicable engineering as-built plans, in addition <br /> <br />to the items listed on Exhibit B. <br /> <br />The parties shall work to <br /> <br />cooperatively resolve any disputes with respect to the acceptability <br /> <br />of the completed work on the COU~I):" Proj ect. <br /> <br />In the event that the <br /> <br />parties cannot resolve such a disp~tej the COUNTY may withhold payment <br /> <br />of its ten percent (10%) retainage until there is a final resolution <br /> <br />of the matter. <br /> <br />SECTION 4. <br /> <br />EMPLOYEE STATUS. <br /> <br />Persons employed by one party in <br /> <br />the performance of services and functions pursuant to this Agreement <br /> <br />shall have no claim to pension, retirement, workers' compensation, <br /> <br />unemployment compensation, civil service or other employee rights, <br /> <br />privileges or benefits granted by the other party. <br /> <br />SECTION 5. COOPERATION. <br /> <br />In order to accomplish the purposes and <br /> <br />goals of this Agreement, the parties agree to cooperate with one <br /> <br />another and to take whatever additional actions, consistent with the <br /> <br />terms of this Agreement, as are reasonably necessary. <br /> <br />This paragraph <br /> <br />Joint Facilities Agreement <br />Seminole County / City of Casselberry <br />Page 8 of 11 <br />
