<br />municipality organized and existing under the laws of the State of Florida, whose
<br />address is 95 Triplet Lake Drive, Casselberry, Florida 32707-3399 ("Grantee").

<br />WIT N E SSE T H:
<br />
<br />WHEREAS, Grantor desires to grant and convey unto Grantee a non-exclusive
<br />public utility easement to, over, under, upon, across and through that certain portion of
<br />the Property described on Exhibit "A" attached hereto (hereinafter referred to as the
<br />"Easement Area") for the construction, installation, operation, maintenance and repair
<br />by Grantee, or its employees, agents or designees, of public utility lines, mains, pipes,
<br />pumps, valves wires, cables and similar appurtenances (hereinafter referred to as the
<br />"Utilities"); and
<br />
<br />WHEREAS, the Grantee agrees to accept such Easement on the terms set forth
<br />herein below.

<br />NOW, THEREFORE, for and in consideration of the mutual covenants and
<br />agreements contained herein and other good and valuable consideration, the receipt
<br />and sufficiency of which are hereby acknowledged, Grantor and Grantee hereby agree
<br />as follows:

<br />1. Recitals. The foregoing recitals are true and correct and are incorporated
<br />herein by this reference.
<br />
<br />2. Grant of Easement bv Grantor. Grantor does hereby create, grant, convey and
<br />declare to exist a non-exclusive Easement to, over, under, upon, across and through
<br />the Easement Area for the purpose of construction, installation, operation, maintenance
<br />and repair of the Utilities, provided that all such Utilities shall be installed underground.
