<br />Said records will be available for examination by the CITY during CONTRACTOR's normal <br />business hours. Said records will be maintained for a period of three (3) years after the date ofthe <br />IllVOlce. <br /> <br />4. Ownership of Documents. All data, specifications, calculations, estimates, plans, <br />drawings, construction documents, photographs, surmnaries, reports, memoranda, and other <br />documents, instruments, information and material prepared or accumulated by the CONTRACTOR <br />(or by such sub-consultants and specialty consultants) in rendering services hereunder shall be the <br />sole property of the CONTRACTOR. CONTRACTOR shall in no way be liable or legally <br />responsible to anyone for the CITY's use of any such materials for another PROJECT, or following <br />termination. <br /> <br />5. Independent Contractor. The CONTRACTOR is an independent contractor and as <br />such will be responsible for paying his own Federal income tax and self-employment tax, or any <br />other taxes applicable to the compensation paid under this agreement. <br /> <br />6. No Third Party Beneficiaries. This Agreement gives no rights or benefits to anyone <br />other than the CONTRACTOR and the CITY. <br /> <br />7. Jurisdiction. The laws of the State of Florida shall govern the validity of this <br />Agreement, its interpretation and performance, and any other claims related to it. In the event of any <br />litigation arising under or construing this Agreement, venue shall lie only in Pinellas County, Florida. <br /> <br />8. Term and Termination. The term of this Agreement shall be for a thirty (30) year <br />term, beginning August 5, 2003. Either party may terminate this Agreement for its convenience on <br />sixty (60) days written notice to the other party. If the Cityterrninates the Agreement pursuant to this <br />section, then the CONTRACTOR will be entitled to compensation for services competently <br />performed up to the date of termination. Additionally, any products that the CITY has ordered from <br />CONTRACTOR and which are in the manufacturing cycle ("on the line") will be purchased and <br />delivered as part of the termination process. <br /> <br />9. Contact Person. The primary contact person under this Agreement for the <br />CONTRACTOR shall be Sallv N. Judah. The primary contact person under this Agreement for the <br />CITY shall be <br /> <br />10. Force Majeure. Delays in, or prevention of performance or carrying out the <br />obligations under the resulting Agreement, by reason of or through strike, stoppage in labor, riot, <br />fire, flood, invasion, civil war, insurrection, military of usurped power, order of any civil or <br />military authority (either de facto or dejure), explosion, or act of God: then and in such case or <br />cases, the Parties shall be relieved of performance under the resulting Agreement for the duration <br />of the period for which performance is delayed. <br /> <br />11. Entire Agreement & Severability. This Agreement constitutes the entire Agreement <br />between the Parties with respect to the subject matter contained herein and may only be modified or <br />amended by Written Agreement of the Parties hereto.
