<br />EXHIBIT "A" <br /> <br />STANDARD CONSULTANT AGREEMENT <br /> <br />THIS AGREEMENT, made and entered into this, day of January 2008, by <br />and between the CITY OF CASSELBERRY, an agency of the State of Florida, <br />hereinafter called the City and KIMLEY-HORN AND ASSOCIATES, INC. of <br />3660 Maguire Blvd., Suite 200, Orlando, Florida 32803 authorized to conduct <br />business in the State of Florida, hereinafter called the Consultant, agree as <br />follows: <br /> <br />1. SERVICES AND PERFORMANCE: <br /> <br />A. The City does hereby retain the Consultant to furnish certain <br />services in connection with Continuing Professional <br />Transportation Engineering/Planning Services including, but not <br />limited to, all transportation engineering and planning services as <br />needed. <br /> <br />B. The Consultant and the City mutually agree to furnish, each to the <br />other, the respective services, information and items as described <br />herein and in authorized Supplemental Agreements. <br /> <br />C. Before performing any work under this Agreement, the parties shall <br />enter into a Supplemental Agreement covering specific Scopes of <br />Services and compensation. Reference herein to this Agreement <br />shall be considered to include any Supplemental Agreement. <br /> <br />D. In the performance of professional services, the Consultant shall <br />use that degree of care and skill ordinarily exercised by other <br />similar professionals in the field under similar conditions in similar <br />localities. The Consultant shall use due care in performing in a <br />design capacity and shall have due regard for acceptable standards <br />of design principles. <br /> <br />E. The Consultant agrees to provide project schedule progress <br />reports in a format acceptable to the City and at intervals <br />established by the City. The City will be entitled at all times to be <br />advised, at its request, as to the status of work being done by the <br />Consultant and of the details thereof. Coordination shall be <br />maintained by the Consultant with representatives of the City, or of <br />other agencies interested in the project on behalf of the City. Either <br />party to the Agreement may request and be granted a conference. <br /> <br />1 <br />
