<br />Section 6. Liability. Neither party, their officers and <br /> <br /> <br />employees, shall be deemed to assume any liability for the acts, <br /> <br /> <br />omissions and negligence of the other party. <br /> <br /> <br />Section 7. Term. This Agreement shall become effective upon <br /> <br /> <br />signature by both parties and shall run for a period of one (1) year <br /> <br /> <br />thereafter. This Agreement shall be automatically renewed for <br /> <br /> <br />additional one (1) year periods unless either party elects to terminate <br /> <br /> <br />as provided herein. <br /> <br /> <br />Section 8. Termination. Either party may terminate this <br /> <br /> <br />Agreement upon thirty (30) days written notice to the other party. <br /> <br /> <br />Section 9. Compliance with Local and State Laws. The CITY and <br /> <br /> <br />the COUNTY shall comply with applicable State and local laws, <br /> <br /> <br />regulations and ordinance, which by reference are hereby incorporated as <br /> <br /> <br />if fully set forth herein, including but not limited to, the following: <br /> <br /> <br />(a) Chapter 112, Florida Statutes Concerning conflicts of <br /> <br /> <br />interest. <br /> <br /> <br />(b) Any and all laws, rules and regulations relating to the <br /> <br /> <br />matters set forth or implied in this Agreement. <br /> <br /> <br />Section 10. Assignments. Neither party shall assign the <br /> <br /> <br />Agreement nor any interest herein without the prior written consent of <br /> <br /> <br />the other party. <br /> <br /> <br />Section 11. Headings. All articles and descriptive headings of <br /> <br /> <br />paragraphs in this Agreement are inserted for convenience only and shall <br /> <br /> <br />not affect the construction or interpretation hereof. <br /> <br /> <br />Section 12. Notice. <br /> <br /> <br />Whenever either party desires to give notice unto the other, <br /> <br /> <br />notice may be sent to: <br /> <br />4 <br />
