RESOLUTION 15-2710 <br />A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA, <br />APPROVING A PURCHASE AGREEMENT BETWEEN THE CITY OF <br />CASSELBERRY AND THE CASSELBERRY GOLF COMPANY FOR <br />PURCHASE OF THE CASSELBERRY GOLF CLUB PROPERTY <br />(CASSELBERY GOLF COURSE); PROVIDING FOR CONFLICTS, <br />SEVERABILITY AND AN EFFECTIVE DATE. <br />WHEREAS, the City Commission of the City of Casselberry approves the purchase of <br />the Casselberry Golf Club property (Casselberry golf course) which parcels are listed in Exhibit <br />A of the attached Purchase Agreement for the amount of $2,200,000 plus closing costs. <br />NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE <br />CITY OF CASSELBERRY, FLORIDA: <br />SECTION 1. The City Commission hereby adopts the findings in the staff report <br />(Attachment B) and finds extraordinary public purpose for the purchase of the Casselberry Golf <br />Course. <br />SECTION 2. The Purchase Agreement (Attachment A) is hereby approved for <br />$2,200,000 plus closing costs and the City Commission authorizes the Mayor to execute the <br />document(s) on behalf of the City Commission. <br />SECTION 3. At the time of closing on the purchase of the Casselberry Golf Club, it is <br />hereby approved and the City Commission authorizes the Mayor to execute all documents <br />necessary to consummate the closing including a promissory note payable to the seller in the <br />principle amount of $1,000,000 as described in the Purchase Agreement (Attachment A) on <br />behalf of the City Commission. <br />SECTION 4. Conflicts. All Resolutions or parts of Resolutions in conflict with any of <br />the provisions of the Resolution are hereby repealed. <br />SECTION 5. Severability. If any Section or portion of a Section of this Resolution <br />proves to be invalid, unlawful, or unconstitutional, it shall not be held to invalidate or impair the <br />validity, force, or effect of any other Section or part of this Resolution. <br />SECTION 6. Effective Date. This Resolution shall become effective immediately upon <br />its adoption. <br />
